Terms of Use

1. What iHydroseed™ is (and isn't)

iHydroseed™ is a directory and matchmaking platform that connects projects with hydroseeding and erosion-control contractors. iHydroseed™ does not:

• Perform hydroseeding, erosion control, SWPPP services, reclamation work, or any other contractor work.
• Employ, train, license, insure, or supervise listed contractors.
• Guarantee the availability, quality, pricing, workmanship, outcome, or compliance of any contractor's services.
• Act as an agent, broker, or representative of any listed contractor.

Any agreement to perform work is directly between you and the contractor.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use iHydroseed™. By using the Site, you represent that you meet these requirements. If you are using iHydroseed™ on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Contractor listings

3.1 Free basic listings. Contractors may submit a free basic listing at no cost. Listings are non-exclusive - you may also list yourself on other directories, advertise elsewhere, or be reached directly without using iHydroseed™.

3.2 Early contractor access. Contractors who submit basic listings before regional public search expands may receive early access to enhanced profile features when those features become available. Early-access benefits are non-transferable and revocable for cause (see Section 7).

3.3 Listing accuracy. You are responsible for the accuracy and completeness of every field you submit, including but not limited to: service area, services offered, equipment, crew size, certifications (type, number, issuing authority, expiration), insurance and licensing status, lead-routing preferences, and uploaded files (logos, photos, certificate documents). You agree to update your listing promptly when any information changes.

3.4 Verification disclaimer. iHydroseed™ may review submitted information but does not independently verify every claim. Certifications are displayed as "contractor-reported" until and unless we adopt a separate verification program. Customers should confirm licensing, insurance, certifications, and any other material claims directly with the contractor before engaging.

3.5 Updates and removal. You may update your listing at any time by re-submitting or by emailing service@ihydroseed.com. You may request removal at any time and we will honor removal requests promptly and always before any public-launch publication that would expose your listing to customer search.

3.6 iHydroseed™'s right to remove or refuse listings. iHydroseed™ may decline a listing or remove an existing listing without notice if, in our reasonable judgment, the listing is inaccurate, abandoned, or misleading; violates these Terms (including Section 7); names a business or person other than the submitter without authorization; or conflicts with applicable law. We will email the address on file before permanent removal where possible.

4. Paid memberships & billing

Basic contractor listings are free. iHydroseed™ also offers paid membership tiers (such as Pro, Verified Pro, and Elite) with additional features. By starting a paid membership you agree to the following:

• Billing & processor. Paid memberships are billed through PayPal on the plan and cycle (monthly or annual) you select at checkout. Card and payment details are handled by PayPal; we do not collect or store full payment card numbers.
• Auto-renewal. Subscriptions renew automatically at the end of each billing cycle at the then-current rate for your plan, unless you cancel before the renewal date. You authorize recurring charges until you cancel.
• Cancellation. You may cancel your subscription at any time through your PayPal account or by contacting us. Cancellation stops future renewals; your paid features remain active through the end of the period already paid for, after which the listing returns to the free tier.
• Refunds. Except where required by law, payments are non-refundable, including for partial billing periods. If you believe you were charged in error, contact us and we will review in good faith.
• Price changes. We may change membership pricing prospectively. We will provide notice of a price change before it applies to your renewal. Any promotional or “founding” pricing that is described as locked applies only for as long as your qualifying membership remains continuously active and in good standing; a lapse, cancellation, or downgrade may end locked pricing, and re-enrollment is at the then-current rate.
• Promotional offers. Free-trial, founding-member, or introductory offers may carry conditions (for example, completing your profile within a stated time). If you do not meet the stated conditions, the associated benefit or tier may end and the listing may return to the free tier, as described in the offer.
• Feature availability. Paid features are provided on an as-available basis and may change over time. We do not guarantee any specific lead volume, ranking, placement, or business result from any membership tier.
• Taxes. Prices shown may not include applicable taxes, which are your responsibility where required.

5. Customer / Project Owner use

Customers (project owners, builders, developers, municipalities, etc.) may search the directory, contact contractors directly via the contractor's opted-in public contact details, or submit project inquiries to iHydroseed™ for routing to matched contractors per the matched contractor's lead-routing preference (Direct, Routed, or Both).

You agree to use the directory only for legitimate project-sourcing purposes. Scraping the directory, automated harvesting of contractor contact information, or using the directory to send unsolicited bulk communications is prohibited (see Section 7).

6. Lead routing

For inquiries that match contractors with Routed or Both lead-routing preference, iHydroseed™ will forward your inquiry to the matched contractor(s) by email. iHydroseed™ may include all information you submitted in the inquiry, including project description, location, and any contact details you provided. iHydroseed™ makes no guarantee about contractor response time or whether any specific contractor will respond.

7. User-submitted content

When you submit content to iHydroseed™ (a listing, profile, certificate file, logo, project photo, project inquiry, or any other content), you represent that you own the content or have all rights necessary to submit it; the content does not infringe any third party's intellectual property, privacy, or other rights; and the content is truthful and not misleading.

You grant iHydroseed™ a non-exclusive, worldwide, royalty-free license to use, display, distribute, and reformat the content you submit solely for the purpose of operating iHydroseed™ and providing the services described in these Terms. This license terminates when you remove the content from iHydroseed™, except for residual copies in backups and as needed to comply with legal obligations.

8. Acceptable use

You agree not to:

• Submit false, misleading, or fraudulent listings.
• Impersonate any person or business or misrepresent your affiliation with a business.
• Submit content that infringes intellectual property or violates third-party rights.
• Scrape, crawl, or use automated means to extract data from the Site beyond what's exposed in standard search results.
• Use iHydroseed™ to send unsolicited bulk communications (spam) to contractors or customers.
• Interfere with or disrupt the Site, the servers, or networks connected to the Site.
• Attempt to access portions of the Site not intended for you (e.g., administrative interfaces, other contractors' private data).
• Use the Site for any unlawful purpose or in violation of these Terms.

9. Intellectual property

The Site, including its design, code, logos, copy, and the underlying directory infrastructure, is owned by Hydroseed Supply™ and protected by copyright, trademark, and other intellectual property laws. Hydroseed Supply™ trademarks and trade dress may not be used without our prior written permission. Third-party trademarks (e.g., contractor brand names, equipment manufacturer names) appearing on the Site remain the property of their respective owners.

10. No warranty

The Site and all content, including contractor listings, are provided "as is" and "as available" without warranty of any kind. To the fullest extent permitted by law, iHydroseed™ and Hydroseed Supply™ disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that: (a) any contractor's services will meet your requirements; (b) the Site will be uninterrupted, secure, or error-free; (c) any information on the Site is accurate or current.

11. Limitation of liability

To the fullest extent permitted by law, iHydroseed™ and Hydroseed Supply, LLC are not liable for any indirect, incidental, consequential, special, or exemplary damages (including lost profits, lost data, or cost of substitute services) arising out of or in connection with your use of the Site or any contractor's services, even if iHydroseed™ has been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising out of these Terms or your use of the Site will not exceed the greater of (a) one hundred U.S. dollars (USD $100) or (b) the amount you have paid to iHydroseed™ in the twelve months before the claim (which, for free basic listings, is zero).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hydroseed Supply, LLC, iHydroseed™, and our officers, employees, and agents from and against any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of: your use of the Site; content you submit to the Site; any contractor services you receive or provide as a result of using the Site; or your violation of these Terms or applicable law.

13. Termination

You may stop using iHydroseed™ at any time. Contractors may request listing removal per Section 3.5. We may terminate or suspend your access to the Site at any time, with or without notice, for any reason consistent with these Terms.

Sections 5, 6, 8, 9, 10, 11, and 13 survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware (where Hydroseed Supply, LLC is organized), without regard to its conflict of laws provisions. Any dispute arising out of or related to these Terms or your use of the Site will be resolved in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.

15. Changes to these Terms

We may modify these Terms at any time. The "Effective date" at the top will reflect the most recent revision. For material changes affecting contractors with active listings, we will give email notice at least 14 days before the changes take effect. Continued use of the Site after changes take effect means you accept the updated Terms.

16. Miscellaneous

• Entire agreement. These Terms (together with the Privacy Policy) constitute the entire agreement between you and iHydroseed™ regarding your use of the Site.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate without notice.
• Notice. Notices to iHydroseed™ should be sent to service@ihydroseed.com. We will send notices to you at the email address on file with your listing (for contractors) or to the email you provided when submitting an inquiry (for customers).
